Disclaimer & Risk Disclosure
Please read this document carefully and in full before subscribing to, deploying or using any AlgoGuru strategy.
By using this website or any strategy listed on it, you acknowledge that you have read, understood and accepted every clause below.
⚠ STATUTORY WARNING: Investments in securities markets are subject to market risks. Read all related documents carefully before investing. Past performance is not indicative of future results.
1. Regulatory Status
AlgoGuru is NOT a SEBI-registered Investment Adviser, Research Analyst, Portfolio Manager, Stock Broker, or any other type of SEBI-regulated intermediary.
AlgoGuru is a technology platform that publishes and shares pre-built algorithmic trading strategy templates deployed via third-party platforms (such as Tradetron). We do not:
- Provide personalised investment advice tailored to your financial situation, objectives, or risk profile
- Manage funds, securities, or accounts of any client
- Receive, hold, or transfer any client money or securities
- Solicit investments or guarantee any return
- Act as a fiduciary, broker, or agent of any user
For SEBI-registered intermediaries, please visit www.sebi.gov.in. SEBI cautions the public to deal only with SEBI-registered investment advisers and research analysts for availing investment advisory or research services.
2. Nature of Services
The strategies, analytics, performance reports, and content available on AlgoGuru are provided for informational and educational purposes only. Subscribing to any strategy from AlgoGuru does not constitute:
- A recommendation to buy, sell, or hold any security or derivative
- An offer, solicitation, or invitation to invest
- Tax, legal, financial planning or insurance advice
- Any guarantee of profit, capital preservation, or return
Every decision to deploy, modify, pause, or exit a strategy is made solely by you, in your own Tradetron account, using your own broker connection. You retain full ownership and control of your trading account, capital, and orders at all times.
3. Market & Trading Risks
Algorithmic trading in derivatives is among the highest-risk activities in the financial markets. You can lose your entire trading capital, and in some cases more than your initial capital, very rapidly.
3.1 General Market Risk
All trading in equities, F&O, currency, and commodity segments is subject to market volatility, liquidity risk, gap-up / gap-down events, circuit limits, regulatory changes, geopolitical events, and other systemic factors entirely outside the control of AlgoGuru.
3.2 Specific Risks of Algorithmic / Automated Trading
- Slippage: Actual execution prices may differ from prices shown in backtests or reports due to liquidity, market impact, or latency
- Technical failures: Internet outages, exchange downtime, broker API failures, Tradetron platform issues, or local power/device failures can cause missed entries, missed exits, or partial executions
- Strategy drawdowns: All strategies will experience losing days, losing weeks, and significant drawdown periods. Drawdowns can exceed those shown in past performance
- Black-swan events: Unprecedented market events may render any strategy ineffective and cause losses substantially larger than historical drawdowns
- Margin calls & pledged collateral: Sudden margin requirements can force liquidation of positions or pledged securities
- Brokerage and statutory costs: STT, exchange fees, GST, stamp duty, SEBI turnover fees, and brokerage costs materially erode net returns. Reports may not always reflect all such charges
3.3 SEBI Findings on Retail F&O Trading
SEBI's research has consistently found that over 90% of individual F&O traders incurred net losses, with aggregate net losses for individual traders widening sharply year on year. Algorithmic execution does not, by itself, alter these probabilities.
4. Past Performance Disclaimer
All performance data, including but not limited to per-strategy P&L, returns, drawdowns, win rates, MTM tables, charts, screenshots, daily/monthly/quarterly figures, and Telegram reports:
- Are presented for informational purposes only
- Are NOT verified by Past Risk and Return Verification Agency (PaRRVA) or any agency recognised by SEBI for performance verification
- Reflect specific historical periods and may not be representative of any future period
- Do not include all costs (brokerage, slippage, STT, GST, taxes) unless explicitly stated
- May vary materially from your actual results due to capital deployed, entry/exit timing, broker, and account-level differences
Past performance is NOT a guarantee, indication, projection or assurance of future performance. Returns are not guaranteed under any circumstances.
5. SEBI Algorithmic Trading Framework (2025–2026)
Per SEBI circular SEBI/HO/MIRSD/MIRSD-PoD/P/2025/0000013 dated February 4, 2025 and subsequent exchange implementation standards:
- Brokers are designated as Principals and algo providers as Agents; every algo order is routed through a registered broker
- Each retail algorithmic strategy must be registered with the exchange through a SEBI-registered broker and tagged with a Unique Algo / Strategy ID
- The user (you) is responsible for deploying strategies through a broker / Tradetron account that complies with the SEBI framework
- You are responsible for ensuring that any API/algo subscription you use is registered as required after the regulatory deadline
AlgoGuru does not assume responsibility for compliance failures arising from your choice of broker, Tradetron account, API setup, or deployment pattern.
6. No Guarantee & No Liability
AlgoGuru, its founders, employees, contractors, affiliates and partners make no representation or warranty, express or implied, about:
- The accuracy, completeness, timeliness or reliability of any data, strategy, signal, report, or other content on this website or in any communication channel (Telegram, email, social media, etc.)
- The fitness of any strategy for any particular purpose, market condition, or user
- The continued availability or uninterrupted operation of any strategy, the Tradetron platform, or any broker connection
To the maximum extent permitted by applicable law, AlgoGuru, its founders, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive losses or damages — including loss of capital, loss of profits, loss of opportunity, missed trades, margin calls, statutory penalties, tax consequences, or platform failures — arising out of or related to use of this website, any strategy, or any content.
7. Mandatory Strategy Comprehension Before Deployment
⚠ DO NOT DEPLOY ANY STRATEGY YOU DO NOT FULLY UNDERSTAND. This is the single most important rule on this entire page.
Before subscribing to or deploying any AlgoGuru strategy in your Tradetron account, you must independently and completely understand every aspect of its operation. At a minimum, you must satisfy yourself that you understand:
7.1 Strategy Logic
- The exact entry conditions — what triggers a position, on what instruments, in which segments (NSE / BSE / MCX), at what time of day, on what days of the week
- The exact exit conditions — including profit-target rules, time-based exits, end-of-day square-off, expiry-day handling, and any conditional exits
- All stop-loss rules — individual leg SL, combined SL, trailing SL, gap-based SL, and any "no-SL" or "wait-and-watch" periods
- Re-entry rules — whether the strategy re-enters after SL hit, how many times, and under what conditions
- Use of hedges, spreads, or multi-leg legs — including how missing or partially-filled legs are handled
- The strategy type (intraday / positional / overnight / multi-day) and the implications for margin, overnight risk, and gap exposure
7.2 Capital, Margin & Risk
- The minimum capital required and the per-lot margin / SPAN + exposure that will be blocked by your broker
- The historical maximum drawdown and the realistic worst-case daily / monthly loss
- Whether the strategy uses pledged collateral, and the implications if pledged securities fall in value
- How brokerage, STT, GST, stamp duty, slippage and exchange charges will affect your net P&L
7.3 Operational Risks
- What happens if your broker API token expires mid-day, your internet drops, or Tradetron is unavailable
- Whether you have a manual square-off plan if automation fails
- Whether you can monitor positions during market hours, especially around entry, SL trigger, and exit times
If you cannot clearly explain the strategy's full logic, capital requirement, drawdown profile, and failure modes in your own words to another person, you do not understand it well enough to deploy it. Do not deploy. Either study further, reach out to AlgoGuru for clarification, or skip the strategy entirely. There will always be another opportunity — there is rarely another chance to recover lost capital.
By deploying any AlgoGuru strategy, you confirm that you have read its description, examined its historical performance, understood its entry/exit/SL/re-entry rules, accepted its drawdown history, and are deploying it with risk capital you can afford to lose in full.
9. User Eligibility & Responsibilities
By using AlgoGuru you represent and warrant that:
- You are at least 18 years of age and a resident of India
- You have read and understood the SEBI risk disclosure for derivatives trading
- You possess sufficient knowledge, experience, and financial resources to evaluate and bear the risks of algorithmic trading in F&O, equity, currency, or commodity segments as applicable
- You are using only risk capital — money you can afford to lose without affecting your standard of living or financial obligations
- You have your own SEBI-registered broker account and your own Tradetron account, set up in your own name, with funds belonging solely to you
- You will independently monitor your positions, margin requirements, and account balances daily
- You are solely responsible for any tax, statutory, or regulatory consequences arising from your trading activity
- You will not borrow money, sell assets under distress, or use funds reserved for essential obligations (rent, education, medical, retirement) for algorithmic trading
9. Third-Party Platforms (Tradetron, Brokers)
AlgoGuru strategies are designed to be deployed on the Tradetron platform, operated by an independent third party. AlgoGuru has no control over, and assumes no responsibility for:
- The availability, reliability, security, or performance of the Tradetron platform
- The execution, settlement, or reporting of trades by your broker
